Service Availability
LegalLady AI does not guarantee any specific level of uptime, availability, or performance. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled outages, third-party service provider failures, or circumstances beyond our control. 3. Customer Representations. By using the LegalLady.AI platform, Customer represents and warrants that: (a) Customer has obtained all required consents (including “prior express written consent” where applicable under TCPA) from each individual contacted through the platform; (b) Customer maintains an accurate and up-to-date internal do-not-call list and honors opt-out requests received through any channel; (c) Customer’s use of the platform does not violate any applicable federal, state, or local law; and (d) any recordings made through the platform are made in compliance with applicable single-party or all-party consent requirements in each jurisdiction where the recorded party is located.
4. Indemnification. Customer shall indemnify, defend, and hold harmless LegalLady.AI, its affiliates, officers, directors, employees, and agents from any claim, demand, action, suit, proceeding, loss, liability, judgment, fine, penalty, cost, or expense (including reasonable attorneys’ fees) arising out of or related to: (i) any violation by Customer of any applicable communications law; (ii) any third-party claim alleging that calls, texts, or recordings made through the platform on Customer’s behalf were unauthorized or non-consensual; or (iii) Customer’s breach of any representation or warranty in this section.
5. Suspension for Suspected Violations. LegalLady.AI reserves the right to suspend Customer’s outbound calling, SMS, recording, or other communications features immediately and without prior notice if LegalLady.AI reasonably suspects that Customer is using the platform in violation of any applicable communications law.
Privilege and Confidentiality
LegalLady.AI is a software-as-a-service platform and is not a law firm. Use of LegalLady.AI does not establish, preserve, or guarantee the attorney-client privilege, work-product doctrine, or any other legal privilege or confidentiality protection between Customer’s attorneys and their clients or between Customer and any third party. Customer is responsible for evaluating, with the advice of qualified counsel, whether and how use of the platform affects any privilege or confidentiality obligation applicable to Customer’s practice, including but not limited to obligations under rules of professional conduct, court rules, and applicable case law.
Third-Party Service Providers
The LegalLady.AI platform incorporates services from third-party providers across categories including telecommunications and voice infrastructure, calendar integration, transactional email delivery, AI and language model services, voice synthesis, payment processing, cloud infrastructure, and analytics. These third-party providers act as subprocessors and process data on LegalLady.AI’s behalf under appropriate contractual safeguards. LegalLady.AI does not publicly disclose the identity of specific subprocessors; the categories of subprocessors are listed above. Customers requiring vendor-specific information for diligence purposes may request a current subprocessor list under a mutual non-disclosure agreement by contacting legal@legallady.ai.
AI Disclosure Requirement
Law firms deploying LegalLady AI chat or voice agents must clearly disclose to consumers that they are interacting with an artificial intelligence system, not a human. This disclosure should be made at the beginning of each interaction through the agent’s greeting or introductory message. Failure to provide adequate AI disclosure may violate applicable laws and regulations. LegalLady AI is not responsible for law firms’ failure to properly disclose AI usage to their clients or prospective clients.
Limitation of Liability
To the maximum extent permitted by law, LegalLady AI and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, data, or business opportunities. Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless LegalLady AI and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Termination
We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. Upon termination, your right to use the Service ceases immediately. You may request export of your Customer Data within 30 days of termination, after which we may delete it.
Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in California. You consent to the personal jurisdiction of such courts.
Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in California, and the arbitrator’s decision shall be final and binding.
You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against LegalLady AI.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
CCPA Compliance
LegalLady AI complies with the California Consumer Privacy Act (CCPA). For details on how we collect, use, and protect personal information, and how California residents can exercise their rights, please see our Privacy Policy.
